Terms & Conditions

These Terms govern your use of the Heddl platform. By creating an account or using the platform, you agree to be bound by these Terms. If acting on behalf of an organisation, you confirm you have authority to bind it.

1. Definitions

“Platform”

— the Heddl software, tools, APIs, and services at getheddl.com and heddl.app.

“Subscription”

— your paid or free-tier access plan.

“Content”

— any data, messages, or materials you submit to the Platform.

“Authorised Users”

— individuals you permit to access the Platform under your account.

“Third-Party Channels”

— LinkedIn, email providers, WhatsApp Business, and other integrated external platforms.

“AI Outputs”

— suggestions, drafts, or recommendations generated by Heddl's AI features.

2. Account Registration and Eligibility

You must be at least 18 years of age and using the Platform for business purposes. You agree to provide accurate registration information and maintain confidentiality of your credentials. Notify us immediately at engage@heddl.app if you suspect unauthorised access.

3. Acceptable Use

3.1 Licence

We grant you a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes during your Subscription term.

3.2 Prohibited Activities

• Send spam, unsolicited bulk messages, or content violating anti-spam laws (CAN-SPAM, CASL, or equivalent).
• Impersonate any person or misrepresent your identity to outreach recipients.
• Scrape or harvest data from Third-Party Channels in breach of their terms.
• Reverse-engineer, decompile, or extract source code from the Platform.
• Resell or sublicense the Platform without prior written consent from Heddl.
• Introduce malware or harmful code into the Platform.
• Exceed usage limits or attempt to circumvent access controls.

Heddl may suspend access immediately if a violation is detected or suspected.

4. Credits and Payment

4.1 Credit-Based Model

Heddl operates on a credit-based system. Credits are redeemed as you perform activities (sending outreach, running sequences, using AI features). Credits have no cash value and cannot be redeemed for cash.

4.2 Purchasing Credits

Credits may be purchased in bundles as listed on getheddl.com/pricing. Payment is due at the time of purchase. All credit purchases are non-refundable except as required by applicable law.

4.3 Credit Redemption

Credits consumed per activity are displayed within the Platform. Heddl reserves the right to adjust credit costs with 14 days' prior notice. Continued use constitutes acceptance.

4.4 Credit Expiry

Credits expire 12 months from the date of purchase unless otherwise stated. Expired credits are forfeited and cannot be reinstated or refunded.

4.5 Complimentary Credits

Heddl may issue complimentary credits for new accounts or promotional campaigns. These may carry shorter expiry periods and additional conditions.

4.6 Taxes

All credit purchases are exclusive of applicable taxes (GST, VAT, or equivalent), which are your sole responsibility.

4.7 Price Changes

Heddl may change credit bundle pricing with 14 days' prior notice. Changes do not affect credits already purchased.

5. Third-Party Integrations

You are solely responsible for:

• Complying with LinkedIn's User Agreement and automation policies.
• Maintaining proper email authentication (SPF, DKIM, DMARC) and sending only to lawfully obtained contacts.
• Complying with Meta's WhatsApp Business Policy for any WhatsApp features.

Heddl is not responsible for the availability, accuracy, or policies of Third-Party Channels.

6. Data Protection and Privacy

6.1 Privacy Policy

Your use of the Platform is governed by our Privacy Policy, incorporated into these Terms by reference.

6.2 Data Processing

Where you submit personal data of third parties, you are the data controller and Heddl is the data processor. A Data Processing Agreement is available at engage@heddl.app.

6.3 Your Obligations

You are responsible for ensuring a lawful basis for personal data submitted, providing required privacy notices, and handling data subject rights requests.

6.4 Data Retention

On termination, your Content is retained for 30 days for export, then deleted.

7. Intellectual Property

All intellectual property rights in the Platform are owned by or licensed to Heddl. These Terms do not transfer any such rights to you. You retain ownership of your Content and grant Heddl a limited licence to process it solely to provide the Platform. Any feedback you provide may be used by Heddl for any purpose without obligation or compensation.

8. AI-Powered Features

• AI Outputs are probabilistic and may not always be accurate or appropriate.
• You must review all AI Outputs before use and are solely responsible for content you send.
• Heddl makes no guarantees about conversion rates, response rates, or revenue outcomes.
• Heddl may use anonymised, aggregated data to improve AI models but will not use your personally identifiable Content without explicit consent.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other that is designated as confidential or would reasonably be understood as such. This obligation does not apply to publicly known, independently developed, or legally required disclosures.

10. Warranties and Disclaimers

Heddl warrants that it has the right to provide the Platform and will use industry-standard security measures.

THE PLATFORM IS OTHERWISE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. HEDDL DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HEDDL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. HEDDL'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL VALUE OF CREDITS PURCHASED IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) USD 100.

Nothing herein limits liability for death or personal injury from negligence, fraud, or any liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold Heddl harmless from claims, losses, and expenses (including legal fees) arising from: (a) your use of the Platform in breach of these Terms; (b) your Content; (c) your violation of applicable law; (d) your violation of third-party rights; or (e) your non-compliance with Third-Party Channel terms.

13. Term and Termination

13.1 Cancellation by You

You may close your account at any time via account settings or by emailing engage@heddl.app. Unused credits at closure are forfeited and non-refundable.

13.2 Termination by Heddl

Heddl may suspend or terminate access immediately for material breach, Acceptable Use Policy violation, or insolvency.

13.3 Effect of Termination

On termination all licences cease, unused credits are forfeited, and Content is available to export for 30 days then deleted. Sections 7, 9, 10, 11, 12, and 15 survive termination.

14. Changes to These Terms

Heddl may update these Terms with 30 days' prior notice by email or in-Platform notification. Continued use after the effective date constitutes acceptance.

15. General

Governing Law. These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka.

Entire Agreement. These Terms, the Privacy Policy, and any applicable Data Processing Agreement constitute the entire agreement between the parties.

Severability. If any provision is unenforceable, the remaining provisions continue in full force.

Waiver. Failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign your rights without Heddl's prior written consent. Heddl may assign in connection with a merger or acquisition.

Force Majeure. Neither party is liable for delays caused by events beyond their reasonable control.
